Services Agreement

These are the terms you accept when you tick the box at checkout to buy one of our monthly plans. A proposal we send you carries the same agreement, with your plan above it.
The agreement
1. Who this is between. This agreement is between ONE MORE TURN VENTURES LLC (“we”, “us”), a Michigan limited liability company, and the client named above, or the business that accepts it at checkout (“you”). It applies to the work and services described in your plan.
2. What we’re building. The plan above (the scope, the line items you selected, and the amounts) is part of this agreement. It is recorded exactly as you approved it and identified by the reference code shown at the end of this document. If we later agree to change the scope, we’ll price it and confirm it in writing first. Anything not in the plan is a change order: we quote it, you approve it, then we do it. If you bought a monthly plan at checkout, your plan is the plan you chose at checkout, at the price shown there.
3. What you pay, and when. For a site you are buying outright, the deposit shown above starts the build and the balance is due before your site goes live on your own domain. Until the balance clears the site stays on its preview address; that is the one thing we hold, and we say so plainly here. Monthly services are billed monthly in advance from the date they start. Apart from Care (section 10) and the monthly plans (section 13), either of us can stop a monthly service with 30 days’ notice. One-time amounts are for the work described, not for a number of hours. Balances more than 30 days overdue accrue 1.5% a month.
4. Revisions. Your build includes three rounds of revisions. A round is one consolidated set of changes from you, which we work through together. If you’d like more rounds after that, we’ll quote them and get your OK before doing the work.
5. Timing. We’ll give you a target launch window and work hard to hit it. Timelines depend on getting what we need from you: photos, details, approvals, and logins for anything we’re connecting. Some things are genuinely outside our control, like approval from a listings board or another provider. Where a delay comes from your side or a third party, the dates shift accordingly.
6. What we need from you. You’ll give us the content, images and access we ask for, and respond to approval requests in reasonable time. You confirm you own, or have permission to use, everything you give us (text, photos, logos, and anything else) and that our using it on your site won’t infringe anyone’s rights. If a claim arises from material you supplied, you’re responsible for it.
7. Who owns what. When you’ve paid in full for a site you are buying outright, the finished website is yours: the design, the pages, and your content. We keep ownership of our own tools, templates, code libraries and know-how, including the editor we install on a page you maintain yourself and anything we built before this project or use across clients; you have a licence to use them on your site for as long as it exists, and none of that stops you owning and using your site. We may show the work publicly as an example and name you as a client. Tell us in writing if you’d rather we didn’t, and we won’t.
8. Hosting. Hosting, a security certificate, and our uptime and contact-form checks are included at no charge for every site we built, for as long as we are in business and the site stays a static site on our hosting account. That covers ordinary small-business traffic. If your traffic becomes exceptional, or you ask us to host the site somewhere else, we’ll talk to you first and pass any hosting cost through at our cost. If you ever leave, we’ll hand over your site and help you move it; we won’t hold it hostage.
9. Our mistakes are ours. Defects in work we delivered are fixed at no charge for as long as your site is with us, whether or not you are on a plan, and routine patching of the software we ship is included. Services that depend on someone else’s platform are different: keeping a connection working through that provider’s ordinary changes is covered by the integration line on your plan (section 11), and a major upgrade a provider requires (a new version of a listings add-on, a replaced interface) is quoted as a change order, because no monthly fee can carry unlimited provider-driven rebuilds.
10. The care plan. If your plan includes care, it covers what the plan says: backups with rollback, keeping any editor on your site up to date, and a number of small edits each month at the price on your plan. A small edit is one bounded content change to an existing page (text, an image you supply, a price, a link) with no new structure; a new page, section, feature or redesign is a change order. Each discrete request is one edit, and edits are completed within three business days of a request that includes what the edit needs; if something is missing we tell you, and the clock waits for it. An edit we complete late is at no charge and does not count against your plan. Unused edits do not roll over. Edits beyond the plan are billed at our published rate, the same rate as an edit for a client on no plan. Care is month to month. If you cancel, monthly or annual, the service runs to the end of the period you paid for, and no part of a period already paid is refunded. If care ends on a site with an editor you maintain yourself, the editor keeps working at the version last installed and your licence to use it continues; ordinary updates stop; a security fix to the editor itself is applied at no charge to every site that has it; a larger repair is quoted; and if a required repair is declined we may disable editing while your public site stays up unchanged.
11. Integrations. Where your plan includes a page built on a third party’s service (a listings feed, an ordering provider, an interface named in your plan), the monthly integration line on your plan covers routine compatibility: keeping that named integration working through the provider’s ordinary changes. It does not cover major redevelopment: replacing the provider, adding a new one, or rebuilding the page for a provider’s breaking change, which we quote. The provider’s own charges are passed through to you at cost, or billed to you directly where the provider allows it. If you keep the page and drop the integration line, the page stays as it is with no upkeep, and any later repair is quoted.
12. A managed website. If your plan is a managed website, you pay the monthly amount on your plan for twelve months, the first at signing, and the site is yours after the twelfth monthly payment, at which point the plan converts to care at the price on your plan. We own the site until that payment is made; your content is always yours. Each payment is part care and part instalment toward the site, as your plan shows. You may buy the site out at any time for the unpaid build balance, which is the instalments not yet paid, care excluded. If you cancel before the twelfth payment, that same unpaid build balance becomes due; if a payment is not made, the site comes down until it is. Add-ons on a managed site are spread over the same twelve payments at the amounts on your plan.
13. The monthly plans. This section covers our monthly plans (Online Business Basic, One More AI Employee, One More AI Employee Plus and One More AI Employee Growth) and any AI phone or chat service on a proposal. Online Business Basic is a one-page website whose contact form texts you each enquiry, with missed-call text back. One More AI Employee is an AI phone agent that answers your calls, books appointments and sends you call summaries, with missed-call text back and basic help with your Google Business Profile. One More AI Employee Plus adds an AI chat agent for website chat and text messages, review requests to your customers, in-depth help with your Google Business Profile, and follow-up to new enquiries. One More AI Employee Growth adds directory listings and search optimisation, and reactivation campaigns you run when you choose. The setup fee on your plan is due when you buy and is non-refundable. Online Business Basic, One More AI Employee and One More AI Employee Plus are month to month: you can cancel any time, and the service runs to the end of the month you have paid for. One More AI Employee Growth is paid three months in advance and then continues month to month; you can cancel any time, and the service runs to the end of the period you have paid for. Apart from the guarantee below, no part of a period already paid is refunded, and there is no charge for cancelling. We can stop a plan with 30 days’ notice.
Our seven-day guarantee. If you are not satisfied, tell us within seven days of delivery and we will refund what you paid for the service: your first month, or the three months paid in advance for Growth. Delivery is the day the service goes live: your site is published, or your agent is answering calls. The setup fee is not refunded.
Locations, minutes and texts. Each plan covers one location. On every plan but Online Business Basic you can add a location at the monthly price published for it; Online Business Basic has no extra location. Each location includes 2,000 AI call minutes a month, and minutes above that are billed at 15 cents a minute. Phone and text charges are passed through at cost. Missed-call text back sends one text in reply to a call your customer made. The service sends any further text, including follow-up and reactivation texts, only to people who have agreed to receive them, and every email it sends honours an unsubscribe.
Where the service runs. Where your plan includes a one-page website, that page is part of the service, not a purchase: it comes down when the service ends and your content is handed back to you. The service runs on a third party’s platform; their availability and rules are theirs, and if they are interrupted we’ll route your calls to you until they are restored.
14. Stopping early. Either of us can stop this work by saying so in writing. The deposit is non-refundable. It is taken after you have seen your three concepts and chosen one, because from that point the time is committed to you and turned away from someone else. If we’ve done work beyond the deposit, you’ll pay for that work. Once you’ve settled what’s owed, you get everything produced up to that point.
15. What we don’t promise. We’ll do this work carefully and to a professional standard. We can’t promise specific search rankings, traffic, leads, or sales: nobody honestly can, because Google, AI search engines and the market all change on their own. Structured data and the other machine-readable files we add make your site readable by search and AI systems; they are not a promise of placement. We also can’t promise a website will never have a bug or never go down. Where a service depends on someone else’s platform (a listings feed, a phone or AI service, a payment processor), their availability, rules and pricing are theirs, not ours, and you may need your own account with them.
16. Keeping things private. We’ll keep your logins, business information and anything else non-public confidential, and use it only to do this work. We’d ask the same of you regarding our pricing and working materials.
17. Limits on liability. Neither of us is liable to the other for indirect or consequential losses (lost profits, lost business or lost data). Our total liability under this agreement is limited to the amount you have actually paid us for the work the claim relates to. Nothing here limits liability that can’t legally be limited.
18. The rest. This agreement and your plan are the whole agreement between us, and replace anything discussed earlier. Changes need to be in writing and agreed by both of us. Michigan law governs this agreement, and any dispute will be handled in the courts of Michigan. If any part of this turns out to be unenforceable, the rest still stands. Approving and signing electronically counts as your signature, and so does ticking the box at checkout that accepts this agreement.
